Terms of Service

1. Acceptance of terms

By creating an account and using ProclyApp ("Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. These terms constitute a legally binding agreement between you and ProclyApp.

2. Description of service

ProclyApp is a cloud-based procurement management tool that allows users to track purchase orders, manage suppliers, and collaborate with teams. The Service is provided on a subscription basis.

3. Account registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your password (minimum 8 characters).
• You must confirm your email address to activate your account.
• You may not share your account credentials with others. Each user must have their own account.
• You must be at least 18 years old to use this Service.

4. Subscription and payment

• The Service costs €5.00 per user per month (incl. VAT), billed monthly.
• New users receive a 7-day free trial with promo code TRIAL7.
• Payment is processed via Stripe. You authorize recurring monthly charges to your payment method.
• Subscriptions renew automatically unless cancelled before the next billing period.
• You may cancel at any time via the billing portal (💳 button in the app). Access continues until the end of the paid period.
• We do not offer refunds for partial months unless required by law.

5. Acceptable use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to other accounts or systems
• Upload malicious code, viruses, or harmful content
• Resell, sublicense, or commercially exploit the Service without permission
• Use automated means to scrape or extract data from the Service
• Upload content that violates third-party intellectual property rights

6. Your data

You retain ownership of all data you enter into ProclyApp (orders, supplier information, attachments, etc.). You grant us a limited license to store and process this data solely to provide the Service.

You are responsible for the accuracy and legality of data you enter. We are not responsible for errors in your procurement data.

7. Service availability

We strive for high availability but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects availability. We will provide advance notice of planned downtime when possible.

We are not liable for losses caused by service interruptions, data loss due to technical failures, or third-party service outages (Supabase, Stripe, Netlify).

8. Limitation of liability

To the maximum extent permitted by law, ProclyApp is not liable for indirect, incidental, special, or consequential damages arising from use of the Service, including but not limited to lost profits, data loss, or business interruption.

Our total liability shall not exceed the amount you paid for the Service in the 3 months preceding the claim.

9. Termination

You may delete your account at any time via Settings in the app. We may suspend or terminate accounts that violate these Terms, with or without notice for serious violations.

Upon termination, your right to access the Service ceases immediately. Your data will be deleted in accordance with our Privacy Policy.

10. Changes to terms

We may update these Terms. We will notify users by email at least 14 days before material changes take effect. Continued use after changes constitutes acceptance.

11. Governing law

These Terms are governed by the laws of Finland. Disputes shall be resolved in Finnish courts, unless EU consumer law provides otherwise.
